Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you and Redpulse Software (“Company,” “we,” “us,” or “our”) regarding your use of our website, services, and products. By accessing our website or engaging our services, you agree to be bound by these Terms.
Services Overview
Redpulse Software provides the following services:
- Web Design and Development
- Mobile App Development (iOS and Android)
- Custom Software Development
- E-commerce Solutions
- Digital Marketing and SEO
- Local SEO Services
- Social Media Marketing
- Website Maintenance and Support
Client Responsibilities
Project Information
Clients must provide:
- Clear project requirements and specifications
- Content, images, logos, and materials needed for the project
- Timely feedback and approvals during development
- Access to necessary accounts (hosting, domain, third-party services)
- Valid licenses for any third-party software or assets
Communication
Clients agree to maintain regular communication and respond to our queries within a reasonable timeframe. Delays in providing feedback or necessary materials may result in project timeline extensions.
Payment Terms
Pricing and Quotes
All prices quoted are in Indian Rupees (INR) unless otherwise specified. Quotes are valid for 30 days from the date of issue. Custom projects require a detailed proposal with specific pricing.
Payment Schedule
Standard payment terms for projects:
- 50% advance payment upon project acceptance and contract signing
- 25% milestone payment upon completion of design/development phase
- 25% final payment upon project completion and delivery
For ongoing services (SEO, Digital Marketing, Maintenance), monthly payments are due at the beginning of each billing cycle.
Late Payments
Payments not received within 7 days of the due date will be considered late. We reserve the right to suspend work on projects with outstanding payments. Late payments may incur interest charges of 2% per month.
Project Timeline and Delivery
Project timelines are estimates based on the information provided at project commencement. Actual timelines may vary depending on:
- Client feedback and approval speed
- Scope changes or additional feature requests
- Availability of required third-party services
- Technical challenges or unforeseen circumstances
We strive to meet agreed-upon deadlines but cannot guarantee delivery dates affected by factors outside our control.
Revisions and Changes
Included Revisions
Each project package includes a specified number of revision rounds (typically 2-3 rounds). Additional revisions beyond the included number will be billed at our standard hourly rate.
Scope Changes
Changes to project scope, features, or requirements after project commencement will be evaluated and may result in additional charges and timeline adjustments. All scope changes require written approval.
Intellectual Property Rights
Client-Provided Materials
Clients warrant that they own or have proper licenses for all content, images, text, and materials provided to us. Clients indemnify us against any claims arising from the use of client-provided materials.
Work Product Ownership
Upon full payment, clients receive ownership of the final deliverables created specifically for their project. This includes:
- Custom website designs and code
- Mobile application source code
- Custom graphics and assets created for the project
Company Rights
Redpulse Software retains rights to:
- Reusable code libraries, frameworks, and tools
- Development methodologies and processes
- Pre-existing intellectual property
- Display completed projects in our portfolio (unless confidentiality is agreed upon)
Warranties and Disclaimers
Service Warranty
We warrant that services will be performed with reasonable care and skill in accordance with industry standards. We provide bug fixes and technical support for a specified period post-launch (typically 30-90 days depending on the project).
Disclaimer
While we strive for excellence, we make no warranties regarding:
- Specific SEO rankings or traffic guarantees
- Third-party service performance or availability
- Results from marketing campaigns
- Compatibility with all future browser or OS updates
Limitation of Liability
Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project or service in question. We shall not be liable for:
- Indirect, consequential, or incidental damages
- Loss of profits, revenue, or business opportunities
- Data loss due to client’s failure to maintain backups
- Issues arising from client-provided content or materials
- Third-party service failures or outages
Confidentiality
Both parties agree to keep confidential all proprietary information shared during the course of the project. This includes business strategies, technical specifications, and any information marked as confidential.
Termination
Client Termination
Clients may terminate projects with 14 days written notice. Upon termination, clients are responsible for payment of all work completed up to the termination date plus a cancellation fee of 25% of the remaining project value.
Company Termination
We reserve the right to terminate projects if:
- Client fails to make timely payments
- Client breaches these Terms
- Client engages in abusive or unprofessional behavior
- Project requirements violate laws or our policies
Hosting and Maintenance
If we provide hosting services:
- Hosting fees are separate from development costs
- We strive for 99.9% uptime but cannot guarantee uninterrupted service
- Clients are responsible for maintaining regular backups
- We reserve the right to suspend hosting for non-payment or policy violations
Support and Maintenance
Post-launch support terms:
- Bug fixes and technical issues are covered for the warranty period
- Content updates and feature additions are billed separately
- Ongoing maintenance plans are available for monthly fees
- Support is provided during business hours (Mon – Sat, 9 AM – 6 PM IST)
Indemnification
Clients agree to indemnify and hold harmless Redpulse Software, its employees, and contractors from any claims, damages, or expenses arising from:
- Client-provided content or materials
- Client’s use of our services
- Breach of these Terms by the client
- Violation of any laws or third-party rights
Dispute Resolution
Any disputes arising from these Terms or our services shall be resolved through:
- Good faith negotiations between both parties
- Mediation if negotiations fail
- Arbitration in Karur, Tamil Nadu under Indian law
These Terms shall be governed by the laws of India, and disputes shall be subject to the exclusive jurisdiction of courts in Karur, Tamil Nadu.
Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond reasonable control, including natural disasters, pandemics, government actions, strikes, internet or hosting provider failures, or other force majeure events.
Amendments
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the updated Terms. For active projects, changes will apply to future work only.
Entire Agreement
These Terms, along with any project-specific proposals or contracts, constitute the entire agreement between you and Redpulse Software regarding our services and supersede all prior agreements or understandings.
